Terms of Service

The rules that govern
our relationship.

These terms set out what you can expect from Contour, what we expect from you, and how we handle situations when things go wrong.

Parties

Who these terms apply to

These Terms of Service ("Terms") are a legal agreement between Contour AI, Inc. ("Contour," "we," "us"), a Delaware corporation, and the entity or individual accessing or using the Contour platform ("Customer," "you").

By creating an account or using the Service, you agree to these Terms on behalf of yourself and, where applicable, your organization. If you do not agree, do not use the Service.

Enterprise customers with a separately executed Master Service Agreement may have terms that supersede or supplement these.

The service

What Contour provides

Contour provides a software platform that helps system integrator firms manage, analyze, and deliver client engagements using AI. This includes the web application, APIs, and any related tooling we make available to you.

We may update, modify, or discontinue features of the Service with reasonable notice. We will not make changes that materially degrade core functionality during an active subscription term without offering you the option to exit.

Your account

Account responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You must promptly notify us of any unauthorized access or suspected compromise.

You are responsible for all activity that occurs under your account, including activity by authorized users you invite. You may not share credentials or allow access beyond your licensed user count.

You must provide accurate information when creating your account. Contour is not liable for problems arising from inaccurate account information.

Acceptable use

How you may use the Service

You may use Contour for lawful business purposes consistent with your subscription. You may not:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to process data you do not have the right to process
  • Attempt to gain unauthorized access to other customers' data or Contour systems
  • Resell or sublicense access to the Service without written permission
  • Use the Service in a way that violates applicable laws or regulations
  • Introduce malware, excessive automated traffic, or otherwise disrupt the Service

We reserve the right to suspend accounts that materially violate these terms, with notice where feasible.

Your data

Ownership and handling of customer data

You retain all rights to data you bring into the platform ("Customer Data"). We do not claim ownership of your Customer Data.

You grant Contour a limited license to process Customer Data solely to provide and operate the Service. We do not use Customer Data to train AI models without your explicit written consent.

Contour stores Customer Data in secure cloud infrastructure, isolated per customer account. Data from one customer is never accessible to another. See our Security page for architecture details.

You are responsible for ensuring you have the right to upload and process any data you bring into the platform, including any data subject to confidentiality obligations with your clients.

Payment

Billing and subscriptions

Subscription fees are billed in advance on the cadence set out in your order. All fees are non-refundable except where required by law or expressly stated in your order.

If payment fails, we will notify you and provide a reasonable cure period before suspending access. Suspended accounts retain their data for 30 days, after which we may delete it.

We may adjust pricing with 60 days written notice before your next renewal term. Your continued use after the effective date constitutes acceptance of the new pricing.

Confidentiality

Mutual confidentiality

Each party may receive confidential information from the other in connection with the Service ("Confidential Information"). Each party agrees to protect the other's Confidential Information using at least the same care it uses for its own, and not to disclose it to third parties without consent.

Confidential Information does not include information that is publicly known, independently developed, or lawfully received from a third party without restriction.

This obligation survives termination of the agreement for three years.

Liability

Limitations of liability

To the maximum extent permitted by applicable law, Contour's total liability for any claim arising from or related to these Terms or the Service is limited to the fees you paid to Contour in the 12 months preceding the claim.

In no event will either party be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.

These limitations do not apply to: (a) your payment obligations; (b) either party's indemnification obligations; (c) damages arising from fraud or willful misconduct; or (d) liability that cannot be limited under applicable law.

Termination

How the agreement ends

Either party may terminate a subscription at the end of the current billing period by providing written notice. Mid-term cancellations do not result in refunds unless otherwise agreed in writing.

Contour may terminate immediately if you materially breach these Terms and fail to cure the breach within 14 days of written notice, or if you become insolvent or cease to operate.

Upon termination, your access to the Service ends. You will have 30 days to export your Customer Data from your cloud storage. After that window, Contour will delete any remaining account and usage data it holds.

General

Miscellaneous

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes will be resolved in the state or federal courts of Delaware.

Entire agreement. These Terms, together with our Privacy Policy and any applicable order form, constitute the entire agreement between you and Contour.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

Updates. We may update these Terms with 30 days notice to account administrators. Continued use after the effective date constitutes acceptance. The current version is always at usecontour.ai/terms.
